If an individually executed MOU, services agreement, order form, or other written agreement exists, that agreement prevails over these Terms to the extent of any conflict.

- Ticking the consent checkbox — “I have read and agree to the Instructor Terms & Conditions, including the non-circumvention, session-link, free-trial, and payment provisions.” — is a mandatory condition of submitting the registration.
1. Agreement, Application, and the Platform's Role
- By completing instructor registration with Reset Yoga (“Platform,” “Reset Yoga,” “we,” or “us”), the instructor agrees to be bound by these Instructor Terms & Conditions (“Terms”).
- Reset Yoga operates a booking platform that connects instructors with students and corporate clients. The instructor is an independent business operator, not an employee of Reset Yoga. Reset Yoga does not direct or supervise when, how, or in what style a session is taught. The instructor decides, at the instructor’s own discretion, which formats to offer, which times to make available, and how to teach.
- These Terms apply from the later of the date on which the instructor account is approved and the official launch date of the Platform.
- The instructor must review and understand these Terms before submitting an application.
- We may update these Terms to reflect changes in law, services, or operating procedures. As a general rule, we will provide at least 30 days’ written or electronic notice before making a material change to an instructor revenue-share percentage or payout methodology.
- Continued use of the Platform after the effective date of revised Terms constitutes acceptance of those revised Terms.
- If these Terms conflict with an individually executed MOU, services agreement, order form, or other written agreement, the individual written agreement prevails to the extent of the conflict.
2. Platform-Exclusive Conduct and Non-Circumvention
⚠️ This is the most important provision in these Terms. A material violation may result in immediate and permanent account termination.
- The instructor must not solicit, arrange, or conduct yoga sessions, coaching, wellness sessions, or any other paid or unpaid instruction outside the Platform with a student or corporate client introduced through Reset Yoga.
- The instructor must not exchange personal contact details — including personal email, telephone, LINE, WhatsApp, WeChat, Instagram direct messages, or similar methods — for the purpose of soliciting, arranging, or conducting instruction outside the Platform.
- These obligations apply while the instructor account is active and for 12 months after the instructor’s final session conducted through Reset Yoga.
- This Section applies equally to corporate clients and their personnel introduced through B2B, For Teams, or other corporate offerings.
- If Reset Yoga reasonably determines that circumvention occurred, the instructor agrees to pay Reset Yoga an amount equal to the Platform fees that would otherwise have been payable in relation to the off-platform sessions.
- A violation of this Section may result in payout review, suspension, or termination.
- This Section is a commercial restriction that protects the client relationships Reset Yoga has built. It does not restrict the instructor’s general freedom to work. The instructor remains free to teach, outside the Platform, any student not introduced through Reset Yoga.
3. Approved Formats, Booking Terms, and Conduct Standards
- Instructors may choose which of the following approved formats they wish to offer. Instructors are not required to offer every format:
- Live Session (group): a group lesson for up to eight participants;
- Private Session: a one-to-one lesson with a single student; and
- Corporate Sessions: online or in-person sessions for companies and other organisations.
- For each offered format, instructors set availability, class type, and capacity through the Platform or as otherwise agreed in writing with Reset Yoga. Which membership plans may book which format is set by Reset Yoga as part of the plan design.
- Changes affecting an existing booking — including changes to time, capacity, format, or delivery conditions — require prior notice and Reset Yoga confirmation.
Booking Window, Cancellation Deadline, and Completed Sessions
- Students may book a session up to 3 months before its start time.
- Booking closes 2 hours before the session start time.
- The student cancellation deadline is 12 hours before the session start time. A cancellation before the deadline returns the student’s session credit; a cancellation after the deadline, or a no-show, consumes it. The effect on the instructor payout is set out in Section 4.4.
- Every session runs for 45 minutes.
- In these Terms, a “completed session” means a session that started as scheduled and that the instructor taught through to the end. A session cancelled by the instructor, or an instructor no-show, is not a completed session.
Session Links and Conduct Standards
- Online sessions must generally be conducted through the online link generated or designated by Reset Yoga and sent to the instructor and participants for the relevant session.
- The instructor must not redirect participants to a personal Zoom, Google Meet, LINE, WhatsApp, or other link without prior approval from Reset Yoga.
- If the instructor cannot use a Reset Yoga-provided link for technical or operational reasons, the instructor must notify Reset Yoga before the class is published and obtain approval for an alternative arrangement.
- The instructor must attend each booked session on time and deliver the scheduled duration and agreed class content.
- An instructor cancellation within 24 hours of the scheduled start time is recorded as a late cancellation. More than three late cancellations in a calendar month may trigger an account review.
- An instructor no-show may trigger an immediate account review on the first occurrence. No payout is generated for a session the instructor no-shows (see Section 4.4).
- The instructor must maintain a professional, respectful, safe, harassment-free, and non-discriminatory environment.
- The instructor must not record, transmit, or distribute a session without the participant’s explicit prior consent and, where required, Reset Yoga’s approval.
- For online instruction, the instructor must maintain reliable internet access, suitable video and audio, adequate lighting, a quiet environment, and a clean and appropriate background.
- The instructor represents that all qualifications, certifications, experience, language abilities, and other profile information are accurate and current.
- As a condition of publishing or continuing to publish classes, Reset Yoga may require qualification documents, identity verification, a short demonstration session, a technical test, or additional information.
- The instructor must make reasonable efforts to review disclosed health conditions, injuries, pregnancy, physical limitations, or other relevant circumstances and exercise appropriate duty of care. The instructor must not make statements that could reasonably be understood as medical diagnosis, treatment, or medical practice.
- In-person corporate sessions, studio use, venue provision, travel-based instruction, retreats, and other special engagements require a separate written agreement covering compensation, venue fees, travel expenses, capacity, facilities, cancellation terms, insurance, and allocation of responsibility. No instructor or instructor-operated facility is required to provide a venue without an individual written agreement.
4. Revenue Share and Payout Structure
4.1 General Principles
- Instructor payouts are earned per completed session only. There is no salary, no retainer, and no guaranteed minimum hours or minimum number of bookings.
- For paid sessions, Reset Yoga generally allocates 60% of Net Revenue to the instructor and retains 40% as the Platform fee.
- “Net Revenue” means the amount Reset Yoga actually receives from the student — the membership plan’s monthly fee, or the Single Session purchase price — less payment-processing fees (currently a 2.9% card fee plus a fixed USD 0.30 per charge), applicable discounts, refunds, chargebacks, and other costs directly associated with processing the payment. Payment-processing fees are deducted before the 60/40 split is applied.
- For a monthly membership plan, the instructor payout is calculated by dividing that plan’s Net Revenue equally across all sessions included in the plan for that month — Live Sessions and the Private Session together — to produce one common per-seat rate. Reset Yoga does not allocate a larger or smaller share of Net Revenue to one session type only.
- For a Single Session purchase (no membership), the instructor payout is 60% of the Net Revenue for that one session. There is no division by a monthly session count.
- The plan prices and estimated payouts below are reference amounts based on the pricing structure currently in effect and are not a guarantee of a fixed amount. Actual payouts may vary due to the applicable price, discounts, taxes, refunds, processing fees, currency conversion, and similar factors.
- If an individually executed MOU, services agreement, or order form sets a revenue-share percentage or other payout term different from the standard 60%, those individual terms prevail.

Worked example (Weekly plan): USD 60 × (1 − 2.9%) = USD 58.26. Subtracting the fixed USD 0.30 fee leaves Net Revenue of USD 57.96. Dividing that equally across the four sessions in the month gives USD 14.49 per session; 60% of that is the instructor’s payout per paid attendee — approximately USD 8.69.
4.3 Free Trial Sessions
- A free trial is limited to a new user’s first Live Session (group) only.
- The Private Session is not eligible for the free trial.
- No payment is taken for the free trial, and no subscription starts automatically.
- A free trial student pays nothing, so there is no revenue to share. Instead, Reset Yoga funds a flat payment of USD 2.00 for each completed trial session. This is paid by Reset Yoga, not by the student.
- Trial places are promotional places intended to acquire new paying members and may be allocated only to available spaces in Live Sessions already scheduled by the instructor.
- The instructor is not required to create an additional session or separate availability solely for trial participants.
- If only trial participants have booked a session, Reset Yoga may cancel or reschedule the session unless the instructor voluntarily agrees to deliver it.
- The instructor acknowledges that the free-trial programme is a joint promotional initiative intended to generate paid memberships and future earning opportunities for instructors.
4.4 Student and Instructor Cancellations, No-Shows, and Payouts
- If a paid member or a Single Session purchaser cancels more than 12 hours before the scheduled start and the session credit or purchase is returned, no instructor payout is generated for that session.
- If the student cancels within 12 hours of the scheduled start, or does not attend (a no-show), the session credit is consumed and the instructor payout is generated as normal — the same as if the student had attended.
- No payout is generated for the cancellation or no-show of a free-trial participant, because a free trial does not generate an instructor payout in the first place.
- If the instructor cancels the session, no instructor payout is generated for that session.
- If the instructor does not attend a booked session (a no-show), no instructor payout is generated for that session, and the account is subject to review from the first occurrence (see Section 3).
- If Reset Yoga does not receive, or later returns, the student’s payment because of a refund, chargeback, fraud, duplicate booking, or similar reason, Reset Yoga may reverse the corresponding instructor payout or offset it against a future payout.
- If a session is cancelled due to a system failure, natural disaster, or other circumstance beyond the parties’ reasonable control, Reset Yoga and the instructor will review the circumstances and determine whether to reschedule the session or otherwise address the payout.
4.5 Payout Timing, Taxes, and Other Conditions
- Earnings are calculated in USD and are generally processed on or around the 15th day of the following month for sessions completed in the preceding calendar month.
- The minimum payout balance is USD 20. Balances below USD 20 roll over to a later payout period.
- Reset Yoga will generally provide at least 30 days’ written or electronic notice before changing an instructor revenue-share percentage or materially changing the payout methodology.
- The instructor is solely responsible, at the instructor’s own cost, for filing and paying taxes, social-insurance contributions, and obtaining any licences required in the instructor’s own country or region. Reset Yoga does not withhold tax from a payout unless a law requires it to do so.
- The instructor is an independent contractor and not an employee of Reset Yoga. Reset Yoga does not guarantee any minimum payout, minimum number of bookings, minimum working hours, or continuing volume of assignments.
5. Payment Methods and Verification
- Reset Yoga may require the instructor to set up Stripe Connect or another payment or transfer service designated by Reset Yoga to receive automated payouts.
- The instructor must complete all required identity verification, address verification, bank-account registration, tax-information, and similar procedures required by the applicable provider.
- Reset Yoga may hold a payout until verification and required information are complete.
- If Stripe Connect is unavailable or not used, Reset Yoga may permit a manual transfer through Wise, SWIFT, or another reasonable method.
- Earnings are generally calculated and paid in USD. Unless otherwise agreed in writing, currency-conversion differences and receiving-bank charges are the instructor’s responsibility.
- Fees, conditions, and verification requirements imposed by payment processors, transfer providers, or financial institutions may vary by country, account configuration, payout method, and the provider’s current terms.
- If a transfer fee is charged to the instructor, Reset Yoga will disclose the amount or calculation method through the dashboard, payout statement, or other written notice.
- If the instructor believes a payout is incorrect, the instructor must contact [email protected] within 30 days after the payout-processing date.

6. Wellness Content Creation and Publication
- An instructor approved by Reset Yoga may publish wellness videos, audio, articles, and other content in the Wellness Library.
- The instructor may select from the access levels made available by Reset Yoga, which may include public access, registered-user access, paid-member access, or other levels.
- Compensation for paid or premium content will be separately agreed as a production fee, fixed fee, usage-based fee, or other arrangement.
- Content must comply with Reset Yoga’s brand and quality guidelines and must not include false, misleading, exaggerated, discriminatory, dangerous, or medically unsupported claims.
- The instructor retains copyright in original content created by the instructor but grants Reset Yoga a non-exclusive licence to display, distribute, and promote that content through the Platform and related promotional channels.
- The instructor must not provide content that infringes a third party’s copyright, trade mark, image rights, privacy rights, or other rights.
- Reset Yoga may unpublish or remove content that does not comply with law, these Terms, or applicable quality standards.
7. Premium Instructor Programme
- Reset Yoga may designate instructors who meet specified criteria as Premium Instructors.
- Premium Instructors may receive priority placement, preferred consideration for corporate engagements, featured content opportunities, or other benefits determined by Reset Yoga.
- Eligibility criteria may include completed sessions, ratings, repeat bookings, cancellation rate, no-shows, complaints, safety, and compliance with these Terms.
- Reset Yoga may periodically revise the criteria and benefits.
- Reset Yoga may suspend or revoke Premium Instructor status if the instructor no longer meets the applicable criteria.
8. Intellectual Property and Promotional Use
- Rights in the instructor’s original teaching methods, materials, and content remain with the instructor or the relevant rights holder.
- By providing a profile photo, name, biography, qualification details, introduction video, class description, or other materials, the instructor grants Reset Yoga a non-exclusive licence to use those materials on the Platform and in advertising, sales materials, social media, and other promotional channels.
- The instructor must not use unlicensed music, images, video, text, trade marks, or other third-party materials in a session or content.
- After termination, Reset Yoga will stop new promotional use of the instructor’s profile within a reasonable period. Reset Yoga may retain previously published posts, legally required records, and reasonable historical references to past work.
9. Suspension and Termination
- Reset Yoga may suspend, investigate, or terminate all or part of an instructor account if the instructor violates these Terms, an individual agreement, applicable law, or safety standards.
- A material violation of the non-circumvention provisions in Section 2 may result in immediate and permanent termination.
- More than three late cancellations in a calendar month, or one or more no-shows, may trigger an account review.
- If a student or corporate client reports harassment, discrimination, a safety issue, false representation, misuse of personal information, or other serious misconduct, Reset Yoga may temporarily suspend the account or payouts while investigating.
- The instructor may request account termination through the method designated by Reset Yoga. Existing bookings, confidentiality, non-circumvention, unresolved payments, and complaint-handling obligations survive termination where applicable.
- Confirmed unpaid earnings at termination will generally be paid within 60 days after necessary review and offset. Reset Yoga may separately determine the treatment of a final balance below the minimum payout threshold.
10. Confidentiality and Data Privacy
- The instructor must keep confidential all non-public information relating to students, corporate clients, and the Platform.
- Student and client personal information may be used only to deliver booked sessions, protect safety, and conduct communications approved by Reset Yoga.
- The instructor must not disclose, sell, copy, retain, or use personal or confidential information for another purpose unless required by law or approved by Reset Yoga and the relevant person.
- The instructor must securely delete personal information when it is no longer required for an authorised business purpose.
- The obligations in this Section survive termination.
11. Safety, Insurance, and Responsibility
- The instructor must teach within the instructor’s qualifications, experience, and applicable law and must exercise reasonable duty of care.
- The instructor acknowledges that yoga and wellness activity can involve ordinary physical risks and must offer modifications, rest, or a recommendation to seek professional care where appropriate.
- Unless properly qualified, the instructor must not provide medical diagnosis, treatment, prescription, or a guarantee of healing.
- The instructor is strongly encouraged to maintain professional liability, public liability, venue liability, or other insurance appropriate to the instructor’s jurisdiction and delivery format. Reset Yoga may require proof of insurance for corporate or in-person engagements.
- The instructor is responsible for liability arising from the instructor’s intentional misconduct, gross negligence, violation of law, false representation, infringement of intellectual property, breach of confidentiality, or breach of these Terms.
- To the extent permitted by law, Reset Yoga is not responsible for unavoidable incidents occurring despite appropriate duty of care, connectivity failures, third-party service interruption, or medical decisions between the instructor and participant.
12. Governing Law and Jurisdiction
- These Terms are governed by the laws of Japan.
- The parties will first attempt in good faith to resolve a dispute through discussion.
- If the dispute is not resolved, the Tokyo District Court has exclusive jurisdiction as the court of first instance.
